Job Description

Provides support for the office of the corporate secretary, including the corporate governance processes, assisting in the maintenance of corporate records and the administration of an entity management system.

Position Compensation Range:

$26.44 - $43.26

Pay Rate Type:

Hourly

**Primary Accountabilities**

+ Supports transaction-related corporate governance matters including drafting and managing straight forward written resolutions, consents, secretary certificates, obtaining good standing certificates, etc. Under guidance, develops drafts for more complex issues and decisions.

+ Responsible for the legal entity management system, including information input and updating information as necessary.

+ Develops a knowledge of relevant laws, regulations, rules, and procedures and conducts legal research from time to time.

+ Demonstrates understanding of rules and regulatory requirements to ensure that regulatory filings and reports are properly handled and administered.

+ Files Secretary of State annual reports for all legal entities.

+ Collaborates with team members and other functional areas within the organization to support various requests for information.

+ Reviews regulatory documents provided by other functional areas to ensure officer and director information is correct.

**Specialized Knowledge & Skills Requirements**

+ Demonstrated experience providing customer-driven solutions, support, or service.

+ Demonstrated experience as a paralegal in a private organization or equivalent experience researching and analyzing information and writing technical documents.

+ Demonstrated experience researching laws, gathering data and preparing documents.

+ Solid knowledge of corporate governance documents including, articles of incorporation, bylaws, officer certificates, and other related documents.
