Responsibilities: Participate in buy-side and sell-side transaction advisory engagements, providing financial and business due diligence assistance to FORTUNE 1000 and middle-market companies and private equity investors. Analyze data to identify historical and projected financial and operating trends, quality of earnings and working capital considerations, and potential liabilities and risks, which impact valuation and negotiation of target companies. Design reports specific to normalized earnings, valuation model input assumptions, achievability of management's budget, and indebtedness considerations. Review third-party audit work papers and audited financial statements to evaluate the application of U.S. GAAP and IFRS accounting standards on financial reporting and assess the impact of specific audit findings on company valuation. Analyze target company historical cash flows and financing arrangements to assess cash sources and uses, foreign exchange exposure, and trading seasonality impacts on post-acquisition funding requirements.
WORK SCHEDULE: 40 hours per week, M-F (9:00 a.m. – 5:00 p.m.)
JOB REQUIREMENTS:
Bachelor's degree in Finance or a related field plus five (5) years of experience in the offered position or a related occupation. Alternatively, employer will accept a master's degree plus two (2) years of experience. Two (2) years of experience must include: Applying International Financial Reporting Standards (IFRS) and U.S. Generally Accepted Accounting Principles (GAAP); identifying Securities and Exchange Commission (SEC) financial reporting issues; analyzing target company data to identify historical and projected financial and operating trends, quality of earnings and working capital considerations, and potential liabilities and risks; designing reports specific to normalized earnings, valuation model input assumptions, achievability of management's budget, and indebtedness considerations; evaluating revenue data to calculate metrics, including renewal rates, net and gross retention, up-sell and down-sell, and churn; and reviewing company sale and purchase agreements to assess and refine accounting and financial terms.
